Services Provided

Silicon Laboratories Inc. and its affiliates (“Silicon Labs”) provides technical support services and reference designs to assist customers in developing products that integrate Silicon Labs’ products, systems and software, along with certain third-party products, into their own applications. Services may include access to technical documentation, design files, software, tools, training materials, and limited consultation with technical support staff.
 

Reference Designs and Support Materials

Reference designs, schematics, design files, software, tools, documentation, consultation and any other materials provided through Simplicity Studio, the Silicon Labs Community and elsewhere at www.silabs.com (collectively, "Support Materials") are intended solely to assist customers in developing their own modules, boards or other applications or products that include one or Silicon Labs integrated circuits or modules (“Authorized Applications”) and may not be used for any other purposes.  The use of Support Materials in systems that do not include at least one Silicon Labs integrated circuit or module is not permitted. The Support Materials are provided for informational purposes only and do not constitute professional advice or recommendations.

You may make multiple copies of Support Materials on computers within your possession or control.

You may not sell, lease, sublicense, distribute or transfer Support Materials to any third party except to your subcontractors who agree to these terms and conditions and for whose breach you assume full responsibility.

You may modify Support Materials as necessary for their intended use.

You may not allow artificial intelligence or generative artificial intelligence tools to train on or ingest information contained in Support Materials or generated by Support Materials without the prior express written consent of Silicon Labs.

Silicon Labs is not obligated to provide any technical support to you.  To the extent that Silicon Labs provides any technical support to you, such support is provided “as-is” without any warranties.  Technical support is not a substitute for your own obligation to test your products.  Silicon Labs is not obligated to sell any Silicon Labs devices or modules to you.  Such sales, if any, shall be governed by Silicon Labs Terms and Conditions of Sale or by the terms and conditions applicable between you and the Silicon Labs distributor from whom you purchased the products.

SILICON LABS DOES NOT WARRANT THAT THE SUPPORT MATERIALS WILL MEET YOUR REQUIREMENT OR THAT OPERATION OF THE SUPPORT MATERIALS WILL BE UNINTERRUPTED OR THAT ANY SOFTWARE WILL BE ERROR-FREE.  THE SUPPORT MATERIALS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS." SILICON LABS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE SUPPORT MATERIALS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.  SILICON LABS DISCLAIMS ALL IMPLIED WARRANTIES.

You are solely responsible for validating and testing any designs or applications that use or incorporate Support Materials.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILICON LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF SILICON LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Intellectual Property

All intellectual property rights in and to the Support Materials are and shall remain the exclusive property of Silicon Labs and/or its licensors. Access to and use of the Support Materials does not grant you any rights to Silicon Labs’ or any third party's intellectual property except as expressly set forth herein.

Changes to the Policy

Silicon Labs reserves the right to update or modify this Policy at any time without prior notice. Your continued use of the Support Materials after any such changes constitutes your acceptance of the new Policy.

Governing Law

This Policy and your use of Support Materials shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to transactions or agreements arising from the use of the Support Materials.
